The Corporate Criminal Law, Ethics, Compliance and Economic Intelligence Department, led by David MARAIS, responds to the observation of an increasingly strong presence of criminal law in life and ecosystem of companies, in their internal relations with public partners as well as private, suppliers or employees, in particular through the rise of repressive measures.

The mission of the allocated team is to advise, assist and defend companies, as well as their shareholders and agents dedicated to the management at “360 °” of criminal risks.

The firm is able to work on all the legal issues useful to risk, audit or economic intelligence professionals, whether internal or external, as well as to the implementation of protection measures of companies.

This solution is 100% French. Data exchanged with clients take advantage of a secure hosting in France as well as of the GDPR.

Corporate Criminal Law and Economic Intelligence:

Criminal risk audit;
Diagnosis and risk mapping;
Internal investigations;
Implementation of protection solutions (for the company, the manager, employees, strategic information, etc.) and compliance (in coordination with the Compliance Department);

Compliance :

Implementation of international and global compliance programs;
Raising awareness of Management Committees and assisting in the implementation of strategic and monitoring tools;
Risk mapping and due diligence;
Writing of behavior codes, ethical charters, registers, third-party evaluation guidelines and compliance policies in accordance with the company and its group activities;
Providing awareness-raising and training sessions for the most exposed employees;
Advice on whistleblowing lines and compliance/due diligence software;
Assistance in the context of investigation and litigation procedures;
Securing international contracts and drafting compliance clauses;
Compliance audits in the context of M&A and financial transactions and post-closing evaluations;
Due diligence and evaluation of third parties on the Chinese territory and in some other risky countries.

Labour law and CSR:

Drafting of employment contracts and complex clauses;
Social audit operations in support of acquisitions, optimization of retirement mechanisms for companies and executives;
Assistance to companies in their relationships with employee representatives and relevant authorities (Work Inspection and DDTE);
Assistance to companies in the context of individual and collective dismissal procedures, drafting of employment protection plans (PSE);
Negotiations for managers contract termination;
Drafting of profit-sharing plans, participation plans and prevention plans;
Assistance and representation of companies in labor criminal law;
Assistance and representation of companies and managers before the Labour Courts and the Social Chambers of the Courts of Appeal;
Assistance and representation of companies and managers in the context of economic dismissal litigations (individual and collective);
Assistance and representation of companies before the Social Security Court and before the Criminal Court in cases of labor criminal law;
Assistance and representation of companies in disputes related to the nomination and work of employee representative bodies.
